Scope of these terms
These terms explain how to use the Primegate Supply Solutions website and submit a procurement enquiry. Primegate is the trading name of Raymfield Uganda Limited. Commercial obligations for an individual engagement are set out in its agreed quotation, purchase order or contract.

Quotations and orders
A quotation issued by Primegate is valid for the period stated on the quotation and is subject to confirmed product availability and pricing at the time of order. An order is considered accepted only once confirmed in writing by Primegate, not upon submission of a purchase order alone.

Pricing and payment
Pricing is quoted on the basis stated in the quotation (currency, Incoterm, validity period) and is subject to change where supplier, freight or duty costs change materially before order confirmation. Payment terms are agreed per engagement and stated on the quotation or contract; amounts not paid by the agreed date may be subject to the remedies stated in that agreement.

Delivery
The delivery basis, destination, timing and receiving arrangements are confirmed for each engagement. Identify any fixed deadline when submitting your requirement. Freight, supplier availability and destination requirements may affect the proposed schedule; binding commitments belong in the agreed commercial documents.

Product conformity and returns
Goods are supplied to the specification confirmed in the accepted quotation or order. Any claim that delivered goods do not conform to that specification should be raised promptly, with supporting evidence, so it can be investigated with the relevant supplier or manufacturer. Return, replacement or remedy terms are addressed on a case-by-case basis consistent with the applicable supplier or manufacturer warranty and the terms agreed for the transaction.

Limitation of liability
Any liability provisions must be set out in the agreed contract and remain subject to applicable law. Submitting a website enquiry does not establish an agreed liability limit or waive legal rights.

Confidentiality
Information exchanged in the course of an engagement is treated in line with the Trust & Data Security page and, where applicable, any specific non-disclosure agreement signed by the parties.

Governing law and disputes
The applicable contract should identify governing law and the agreed process for resolving disputes, taking the relevant destination and cross-border requirements into account. Raise questions about a quotation or engagement with Primegate before accepting commercial terms.

Changes to these terms
Website terms may be updated when the service changes. An existing engagement remains subject to the terms agreed for that engagement, unless the parties agree otherwise.
